Service License Agreement

The DiMS dialysis management platform at dims.my is provided by DiMS Solutions Sdn Bhd, a Malaysian company registered under number 1220100-V. By accessing or using the platform, users agree to the service license terms, privacy policy, and consent terms that govern their rights and obligations.
These terms apply to representatives of dialysis centers using DiMS and do not replace any separate agreement between DiMS Solutions and the relevant dialysis center. DiMS Solutions may update the terms from time to time, and continued use after changes take effect indicates acceptance of the updated terms.
DiMS System License Agreement
DiMS, related updates, documentation, interfaces, content, embedded systems, and third-party components are licensed rather than sold. DiMS and its licensors retain ownership of the platform and reserve all rights not expressly granted.
1. General
Updates, restores, feature enhancements, and replacements provided by DiMS are governed by this license unless a separate license accompanies the update. Future updates may not include every existing or newly released feature.
2. Permitted License Uses and Restrictions
Users receive a limited, non-exclusive license to use DiMS according to the agreement with DiMS. Unless separately agreed, the license does not permit DiMS to be used by more clinics or organizations than authorized, distributed over a network for unauthorized multi-clinic use, or used to update data the user does not own or control.
- Users may keep one machine-readable backup copy of updates where permitted, provided proprietary notices remain intact.
- Users may not copy, decompile, reverse engineer, decrypt, modify, disassemble, or create derivative works from DiMS except where applicable law allows.
- Users are responsible for using DiMS and services in compliance with local laws and service requirements.
- Some features may require internet access, account credentials, or a valid DiMS ID.
3. Transfer
Users may not rent, lease, lend, sell, redistribute, or sublicense DiMS. A one-time permanent transfer may be allowed only with a complete transfer of the licensed DiMS materials and acceptance of the license by the receiving party.
4. Consent to Use of Data
DiMS and its agents may collect and process diagnostic, technical, usage, system, hardware, and related data to improve services, provide support, deliver updates, and verify compliance. Data used for improvement should not personally identify the user where anonymized or aggregated use is applicable.
5. Reliability of Data
Some services may display or link to third-party materials. DiMS is not responsible for verifying the accuracy, completeness, legality, quality, or reliability of data inserted into or accessed through the system. Users remain responsible for uploaded content, data accuracy, authorization, and lawful use.
Users must not exploit DiMS or related services in unauthorized ways, including by transmitting harmful code, violating rights, harassing others, or overloading platform capacity.
6. Termination
The license remains effective until terminated. Rights may end automatically if the user fails to comply with the license. After termination, the user must stop using DiMS. Certain sections, including data, reliability, warranty, liability, and governing-law provisions, survive termination.
7. Disclaimer of Warranties
To the extent allowed by law, DiMS and related services are provided on an as-is and as-available basis. DiMS does not guarantee uninterrupted operation, error-free service, correction of defects, compatibility with third-party systems, or suitability for every environment.
8. Limitation of Liability
To the extent permitted by law, DiMS, its affiliates, agents, and principals are not liable for indirect, special, incidental, consequential, or commercial losses arising from use or inability to use DiMS, services, or third-party systems. Any total liability is limited according to the applicable service agreement and governing law.
9. Digital Certificates
Where DiMS supports digital certificates, users are responsible for deciding whether to rely on a certificate. Use of certificates is at the user's own risk, and DiMS disclaims warranties regarding third-party certificate accuracy, security, or non-infringement to the maximum extent allowed by law.
10. Export Control
Users may not export or re-export DiMS except as authorized by Malaysian law and applicable jurisdictional laws. Users must not use DiMS for purposes prohibited by law.
11. Governing Law and Severability
The license is governed by the laws of Wilayah Persekutuan Kuala Lumpur, excluding conflict-of-law principles. If any provision is found unenforceable, the remaining provisions continue in effect.
12. Complete Agreement and Language
This license forms the entire agreement between the user and DiMS for the subject matter covered. Any amendment must be in writing and signed by DiMS. If translated versions differ, the English version governs where permitted by law.
13. Third-Party Acknowledgements
Portions of DiMS may include third-party systems or copyrighted material. Use of those materials is governed by the applicable acknowledgements, licensing terms, and disclaimers.
